1. Scope
The subject of the Terms is delivering of consulting services by the Advisor to the Client for a certain fee. By accessing or using our website or services, you acknowledge that you have read, understood, and agree to the Terms.
We provide mentorship services in the field of Business Strategy, Product Management, Product Marketing, Non-Profit Governance, and Operations. These services may be accessed by contacting us through our website, email, or web form. In this context, the scope of the consultancy service to be provided is limited to the issues mentioned above. The scope of the Terms shall only be expanded or narrowed with the written mutual consent of the parties.
2. Principles of Consultancy
The Advisor shall not use the Client products developed during and after the service provided in other places and works on his behalf. The Advisor shall act within the framework of the information it will receive from the Client and shall not be held responsible for the adverse outcomes or losses and damages that may occur as a result of providing missing or incorrect information. The Advisor shall submit his ideas and suggestions to the Client in in writing within the framework of his knowledge and expertise. In the post-delivery process and operation, the Client is completely free to comply with or partially fulfill the information and ideas conveyed, and all kinds of responsibility for these transactions belong to the Client.
The Advisor shall endeavor to fulfill its obligations under the Terms in the best way possible. The parties shall not transfer their existing rights and obligations arising from the Terms to third natural and legal persons.
3. Changes to Terms
We may update the Terms from time to time. Any changes will be effective upon posting on our website. Your continued use of our services after such changes will constitute your acceptance of the revised Terms. The Agreement signed between the Client and Advisor can supersede the Terms.
4. Intellectual Property
All content and materials provided by the Advisor are protected by copyright and other applicable intellectual property laws. You may not use, copy, distribute, or reproduce any content without our prior written consent.
The Advisor agrees that the work products from the services provided to the Client shall be owned by the Client. Nothing contained in this section shall be construed as prohibiting the Advisor from utilizing in any manner, knowledge and experience of a general nature acquired in the performance of services for the Client.
5. Confidentiality
Confidential information includes all information identified by a disclosing party as proprietary and confidential, which confidential information shall remain the sole property of the disclosing party unless the ownership of such confidential information is otherwise expressly set forth in the Agreement. Items will not be considered confidential information if: (a) available to public other than by a breach of an agreement by the recipient; (b) rightfully received from a third party not in breach of any obligation of any confidentiality; (c) independently developed by one party without access to the confidential information of the other; or (d) rightly known to the recipient at the time of disclosure as verified by its written records.
6. Miscellaneous
The relationship of the Client and Advisor is that of independent contractors. Personnel of both parties are neither agents nor employees of the other party for federal tax purposes or any other purpose whatsoever, and are not entitled to any employee benefits of the other party.
